Purpose and Reason:

The Authority’s Bylaws are being amended to ensure that the bylaws that govern RITBA, as a body corporate and politic of the State of Rhode Island, conform to current applicable Rhode Island law by reflecting significant changes in Rhode Island law applicable to quasi-public corporations, including without limitation the provisions of: (i) the “Open Meetings Act,” R. I. Gen. Laws §§ 42-46-1 et seq.; (ii) the “Rhode Island Code of Ethics,” R.I. Gen. Laws §§ 36-14-4 through 7; and the (iii) the “Quasi-Public Corporations Accountability and Transparency Act,” R. I. Gen. Laws §§ 42-156-1 et seq. The final rule contains the following substantive changes from the proposed rule: (i) Article III, Section 6 has been changed to clarify that an emergency meeting may only be called to address an unexpected occurrence that requires immediate action to protect the public; (ii) Article III, Section 7 has been changed to delete the references to an adjourned meeting; (iii) Article III, Section 10 has been changed to clarify that an item may be added to an agenda at a meeting for informational purposes only; and (iv) Article V, Section 3 has been changed to include all of the classifications for nondiscrimination under the State Fair Employment Practices Act.
